Foundation of a company

We render services concerning founding of any kind of corporation in the Czech Republic, especially:

Limited Liability Company

Steps and documents necessary to establish a company:

  1. concluding a contract about cooperation by founding a company (a draft of contract will be sent immediately after receiving your order)
  2. client provides the names of establishing shareholders, name of new company, scope of business, names of directors and amount of registered stock capital
  3. client provides:
    - signatures of Power of Attorneys sent by our legal office
    - certificates of incorporation in case of legal entity as the founder
    - statements of criminal records of directors
  4. then we are able to start the process of founding a company, opening an account and secure the trade licenses
  5. during the process of founding a company the stock capital of the company must be paid by client on bank account (at least CZK 200.000,-)
  6. once the corporation is founded, we send certificate of incorporation of founded company and register the company by Tax Office

Each company must have its own official address. Therefore our law office provides this official address in our property for purposes like mail delivery, administrative service (mail resending, boardroom etc). For more info click here.

Duration of the process:

  • 15 days since necessary documents are delivered

Price list of foundation of a corporation:
1.200,- EUR    -     Limited Liability Company, 1 shareholder physical / legal person,  1 director
30,- / 90,-    EUR    -     each additional shareholder - physical person  (Czech / foreign)
45,- / 200,- EUR    -     each additional shareholder - legal entity (Czech / foreign)
45,- / 180,- EUR    -     each additional director (Czech / foreign)


VAT 19 % shall be added to the fees unless the Sixth Council Directive can be aplied (the VAT shouldn ´t be paid by recipient of a legal service)

The fee includes:

  • Working out of all necessary documents (bilingual CZ – ENG/GER/FRA).
  • Translations of foreign documents into Czech (max. 5 pages) . If documents are in other than official EU language, extra costs for translations may be required.
  • All fees of Notary and the Companies Register.
  • Statement from the Land Registry.
  • Representing by our lawyers in the registration proceeding, registration at the Tax Office.

The fee does not include providing of the official address of the Company.
The capital stock of the Company in amount CZK 200.000 must be paid on bank account of the Company during the process of establishing.
The Client will receive: a statement from the Companies Register, Articles of Incorporation of the Company, Trade Licenses. Other documents according to requested services.

Joint Stock Company

Steps and documents necessary to establish a company:

  2. client provides names of establishing stockholders, name of new company, scope of business, names of memmbers of board of directors and supervisory board and amount of registered stock capital
  3. client provides:
    - signature of Power of Attorneys sent by our legal office
    - certificates of incorporation in case of legal entity as the founder
    - statements of criminal records of board of directors and supervisory board
  4. then we are able to start the process of founding a company, opening an account and secure the trade licenses
  5. once the corporation is founded, we sent a certificate of incorporation of founded company  and register the company by Tax Office

  •   25 days since the basic documents are delivered

Foundation of corporation price:
2.300,- EUR    -     stock company, 1 stockholder, 1 director
90,- / 200,- EUR    -     additional stockholder (Czech / Foreign)
45,- / 160,- EUR    -     additional member of BOD (Czech / Foreign)
45,- / 120,- EUR    -     additional member of SB (Czech  / Foreign)

The fee is without VAT.VAT 19% will be added, if the 6tth directive by Council of EU will be not applied to client. (i.e. If VAT shouldn’t be conscripted by consider).

The fee includes creating of all necessary documents (in double language version – Czech and English, German, French) and the translation of basic documents to Czech language (in maximum range 5 sides). If the documents will be present in another language, than one the official EU language, extra costs for a translation may be required. Price includes along the notary fee, stamps, statement from the Land Registry, representing by our law office in a registration proceeding. The fee does not include providing  of the official address of the company.
The capital stock of a company will be paid in monies, his rate is amount 2.000.000,- Kč  As a result of our work the client will  receive the statement from the Companies Register, Articles of Incorporation of the Company, Trade license and the form  of registration to the Tax Office. Other documents according to requested services.
